Agreement Terms

Compensation and Reimbursement

The Client agrees to pay the Bon Voyage a rate of $ TBD  per hour for services rendered from the Accountant for the Client. A do not exceed or budget may be put in place by the Client for each month. Bon Voyage Accounting agrees to invoice the Client monthly, payable net 15 days from the invoice date via electronic payments only. Options to
include but not limited to Venmo, PayPal & Wire Transfer. In the event Mammoth
agrees, payment may be accepted by Mammoth Springs Resort and amount will be credit to Clients invoice to Mammoth Springs. The Client agrees to reimburse
the Accountant for any deemed reimbursables for the client such as purchased or paid items by Bon Voyage that should have been paid by the Client, i.e. resell
permit application fee. Bon Voyage Accounting will maintain adequate
documentation and records to support all costs invoiced to the Client for related
expenses.

Payments made by the Client to the Accountant will not deduct any taxes and the Client will provide the Accountant with IRS Form 1099 at the end of each calendar
year. For purposes of issuing IRS Form 1099, the Accountant has provided the EIN
within this agreement.      

Term and Termination

This agreement will commence on the effective date set forth and continue for a
period of a need basis from the effective date unless terminated earlier. Either party may terminate this agreement at any time. Upon termination, Bon Voyage Accounting shall be entitled to receive compensation and reimbursement for any
work accrued.

Confidential Information

Both parties acknowledge that there is an exchange of confidential and proprietary
information associated with this agreement. Confidential and proprietary
information may include documents, communications, plans, processes,
formulations, data, know-how, financial information, techniques, methods,
customers, suppliers, partners, patents, trademarks, designs, and other forms
of tangible or intangible artifacts owned by the Client. Confidential and
proprietary information does not include information within the public domain, information that has been publicly known prior to the execution of this agreement, or
information that the Accountant developed independent of any confidential
information.  

Bon Voyage Accounting will not divulge, disseminate, publish or otherwise disclose any information without the prior consent of the Client. Bon Voyage Accounting will
not use any information for purposes other than the performance of services
described in this agreement. The Client agrees to not disclose confidential
information to the Accountant except to the extent that the Accountant requires
this information to fulfill the obligations within this agreement. 

If the Client has any concerns over the sharing of sensitive information and
requires additional control measures, the Accountant will establish secured
means of information sharing that are mutually agreeable to both parties. These
control measures may include restricting who can copy, print, or change
documents during the engagement.
